Under Section 89(5) of the Railways Act 1991 [Act 463], the Chairman and four members of the Board of Directors are required to form a quorum for a meeting.

Under Section 89(3) of the Railways Act 1991 [Act 463], the Minister of Transport is authorized to appoint the Chairman from among the members of the RAC Board of Directors.

Under Section 89(2) of the Railways Act 1991 [Act 463], the Board of Directors must consist of the following members:

1. A representative from the Ministry of Transport;
2. A representative from the Treasury;
3. A representative from the Economic Planning Unit;
4. The Federal Land Commissioner;
5. The Railway Asset Manager, who shall be an ex officio member; and
6. Not more than two other members.

Under Section 89(2) of the Railways Act 1991 [Act 463], the Minister of Transport is authorized to appoint the Board of Directors of RAC.
